Acceptance of Terms
By accessing, browsing, or using the Execli.ai website and services (collectively, the Service), you agree to be bound by these Terms of Service. If you do not agree to all terms and conditions outlined herein, you may not use the Service. Your continued use of the Service constitutes acceptance of these terms.
Definitions
2.1 Company
Company, we, us, and our refer to Execli, Inc., a Delaware C-Corporation (EIN 42-1792776), and its successors or assigns.
2.2 User and Account
User, you, and your refer to any individual who accesses or uses the Service. An Account is your personalized profile created to access the Service.
2.3 Service
The Service is an AI-Powered Productivity Platform consisting of a suite of integrated applications available under a single Account, currently including:
- Execli Jobs — job application tracking, job search, AI-generated resume summaries and cover letters, application auto-fill and auto-apply tooling (including the optional Execli Auto-Apply Chrome Extension), and optional email-based application tracking;
- Execli Budget — personal budgeting, including optional connection of your bank and card accounts through Plaid (see Section 7), AI-assisted transaction categorization, and spending insights;
- Execli Fitness — weight-trend and nutrition goal tracking, food logging, meal planning, habit tracking, and workout logging;
- Execli Grocery — grocery lists, pantry tracking, and shopping tools, including features that draw on your Fitness meal plans and Budget categories;
- Execli Tasks — task and to-do management with reminders and notifications;
together with the Jarvis AI assistant available across the applications, and any additional applications, features, content, and support that may be made available over time.
2.4 AI-Generated Content
Content generated by artificial intelligence anywhere in the Service, including resume summaries, cover letters, job recommendations, application answers, transaction categorizations, budgeting insights, nutrition estimates and parsed food logs, meal and grocery suggestions, email classifications, and responses from Jarvis. AI features are powered by third-party AI providers, currently the Anthropic Claude API.
2.5 Subscription Tiers
Execli offers four subscription tiers: Free (no recurring charges) and three paid tiers — Premium, Premium Plus, and Unlimited. Current pricing for each tier is displayed within the Service at signup and at checkout. Promotional pricing (for example, early-adopter pricing offered during our beta period) applies as described at the time you subscribe; subscriptions started on a promotional price remain on that price until you cancel, unless we state otherwise when you subscribe.
Account Registration and Eligibility
3.1 Age Requirement
You must be at least eighteen (18) years old to create an Account and use the Service. By registering, you represent and warrant that you meet this age requirement.
3.2 Account Registration
You are responsible for providing accurate, complete, and current information during registration. You agree to update your Account information as needed to maintain accuracy. Execli uses passwordless authentication (magic links and WebAuthn/passkeys); you are responsible for maintaining the security of your email account and of any device or passkey you use to sign in.
3.3 Account Responsibility
You are entirely responsible for all activities conducted through your Account. You agree not to share access to your Account with others and to notify us immediately of any unauthorized access or suspicious activity.
Subscription, Billing, and Cancellation
4.1 Billing
Paid subscriptions are billed monthly through Stripe, our third-party payment processor. Billing occurs on the date your subscription begins and on each monthly anniversary. You authorize us to charge your payment method for the subscription price and any applicable taxes or fees.
4.2 Free Trial
If we offer a free trial period, you may use the Service at no charge for the specified duration. Upon trial expiration, your Account will be downgraded to the Free tier unless you subscribe to a paid plan. We may charge your payment method after the trial ends if you do not cancel.
4.3 Cancellation
You may cancel your subscription at any time through your Account settings (which opens our Stripe-hosted billing portal) or by contacting our support team. Cancellation stops future billing and takes effect at the end of your current billing cycle: you retain paid access through the end of the period you have already paid for, and your Account then reverts to the Free tier.
4.4 Payment Failures
If a payment fails, we will attempt to retry using the payment method on file. If payment remains unsuccessful after multiple attempts, your subscription may be suspended or terminated. You are responsible for maintaining valid payment information.
4.5 Price Changes
We reserve the right to modify subscription prices at any time. Price increases will be communicated to you at least thirty (30) days in advance. Continued use of the Service after notification constitutes acceptance of the new pricing.
4.6 No-Refund Policy
All subscription fees are non-refundable. Except where a refund is required by applicable law, we do not provide refunds or credits for partial billing periods, unused time, unused feature or AI allowances, accidental renewals, downgrades, or periods in which you did not use the Service. Cancelling (Section 4.3) always stops future billing: you keep your paid access through the end of the period you have already paid for, and you are simply not charged again. If you believe you have been charged in error, contact support@execli.ai within thirty (30) days of the charge and we will review the matter in good faith. Nothing in this section limits any non-waivable refund, cancellation, or cooling-off right you may have under the consumer-protection laws of your jurisdiction.
Acceptable Use Policy
5.1 Prohibited Conduct
You agree not to use the Service to violate any applicable laws or regulations, harass or threaten any individual or organization, distribute malware or viruses, attempt unauthorized access to our systems, reverse engineer our Service, engage in automated data harvesting, impersonate another user, submit false information in job applications, connect financial accounts you are not authorized to access, or use the Service for any illegal purpose.
5.2 Content Responsibility
You are solely responsible for any content you upload, store, or submit through the Service, including resumes, cover letters, application information, tasks, food and fitness entries, grocery and pantry data, and budgeting data. You represent and warrant that you own or have the right to use all submitted content and that it does not infringe upon third-party intellectual property rights.
5.3 Violation and Enforcement
We reserve the right to investigate violations of these Terms and may suspend or terminate your Account immediately, without notice, if we determine you have violated this Acceptable Use Policy. We also reserve the right to cooperate with law enforcement investigations regarding illegal conduct.
AI Features and Disclaimers
6.1 How AI Features Work
The Service uses third-party artificial intelligence — currently the Anthropic Claude API, called from our servers — to power features across the applications, including resume summaries, cover letters, job recommendations, application answers, Jarvis conversations, transaction categorization and budgeting insights, natural-language food logging and nutrition estimates, meal and grocery suggestions, and classification of job-related emails you choose to sync. When you use these features, the relevant content is transmitted to the AI provider for processing, as described in our Privacy Policy.
6.2 No Guarantee of Outcomes
While we strive for quality, we make no guarantee of any specific outcome, including but not limited to job interviews, offers, employment results, financial results, health or fitness results, or the accuracy or usefulness of any AI-generated content. AI-generated content is provided on an as-is basis and may contain inaccuracies, errors, or biases. You are responsible for reviewing all AI-generated content before relying on it or submitting it to any third party.
6.3 Not Professional Advice
The Service, including its AI features, does not provide professional advice of any kind. In particular:
- Budget provides budgeting and organizational tools only. Nothing in the Service is financial, investment, tax, or accounting advice. AI-generated categorizations and insights may be wrong; verify important figures against your bank's own records.
- Fitness provides self-directed tracking and planning tools only. Nothing in the Service is medical, dietary, or health advice, and the Service is not a medical device. Nutrition values are estimates. Consult a qualified professional before beginning any diet or exercise program, and do not rely on the Service if you have a medical condition, including a history of disordered eating.
- Jobs is not a replacement for professional career counseling.
6.4 Third-Party AI Dependencies
The Service relies on third-party AI providers. We are not responsible for service interruptions, changes in API availability, or quality degradation caused by third-party providers. If third-party AI services become unavailable, we may suspend related features without liability.
6.5 User Accountability
You are solely responsible for the accuracy and truthfulness of any content you submit to employers or other third parties, whether generated by AI or written by you. Submitting false information, misrepresenting your qualifications, or using AI-generated content deceptively is your responsibility and may have legal consequences. Execli's auto-apply features only submit applications you have prepared and authorized, using information from your own profile.
6.6 AI Usage Limits
AI-powered features are subject to per-tier usage limits, which are displayed within the Service. We may adjust limits to protect the integrity and economics of the Service; material reductions to the limits of a paid tier will be communicated in advance where reasonably practicable.
Bank Account Connections (Plaid)
7.1 How Connections Work
Execli Budget optionally lets you connect bank, card, and similar financial accounts using Plaid Inc. ("Plaid"). When you connect an account, you authenticate directly with your financial institution through Plaid's interface. Your banking credentials are never transmitted to, seen by, or stored by Execli. Plaid provides us with read-only data about the connected accounts — such as account names, balances, and transactions — which we store securely to power the Budget app.
7.2 Your Authorization
By connecting an account, you grant Execli and Plaid the right to access and transmit your financial account data as described in our Privacy Policy and in Plaid's End User Privacy Policy (https://plaid.com/legal/#end-user-privacy-policy), and you represent that you are authorized to connect that account. You can disconnect a connected account at any time from within the Budget app, which stops further syncing; you may also manage Plaid connections through Plaid Portal (https://my.plaid.com).
7.3 Read-Only; No Money Movement
The Service reads financial data for display, categorization, and insights only. The Service does not initiate payments, transfers, trades, or any other transactions on your financial accounts, and Execli is not a bank, broker, money transmitter, or financial advisor.
7.4 Accuracy of Financial Data
Balances and transactions are provided by your institution via Plaid and may be delayed, incomplete, or occasionally inaccurate. Your financial institution's own records are the authoritative source.
Intellectual Property
8.1 Company IP
All content, features, functionality, design, and intellectual property related to the Service are owned by Execli or our licensors. This includes the Jarvis AI assistant, algorithms, software, and any improvements or modifications. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes only.
8.2 User-Submitted Content
By submitting content to the Service (for example resumes, cover letters, applications, tasks, food logs, and budgets), you grant Execli a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and store your content as necessary to provide the Service, including for backup, improvement, and analytics purposes. You retain ownership of your original content.
8.3 AI-Generated Content Ownership
AI-generated content is provided for your use subject to third-party AI provider terms. While you may use AI-generated content in job applications and elsewhere, Execli does not warrant exclusive ownership or control of AI-generated outputs. You are responsible for ensuring you have the right to use AI-generated content in your applications.
8.4 Prohibited Use
You may not reproduce, distribute, modify, or create derivative works from the Service or any Company-owned content without explicit written permission. You may not attempt to circumvent any intellectual property protections, including copying, reverse engineering, or unauthorized access to proprietary systems.
Data Privacy and Security
9.1 Privacy Policy Reference
Our collection, use, and protection of your personal data is governed by our separate Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy for details on how we collect, store, use, and protect your information, including how we handle interactions with third-party AI providers and with Plaid.
9.2 Data We Collect
We collect and store account information (name, email, and WebAuthn / passkey public-key credentials — Execli uses passwordless authentication and does not collect or store passwords), and the data you create in each application: job application records and documents, budgeting data including connected-account transactions and balances, fitness and nutrition entries, grocery and pantry data, tasks, email and communication logs for integrations you enable, and usage analytics collected by our own first-party analytics system.
9.3 Third-Party Data Sharing
To operate the Service, we share data with third-party processors as described in our Privacy Policy, including Anthropic (AI inference), Supabase (database and file storage), Vercel (application hosting), Stripe (payments), Plaid (bank account connections), Resend (outbound email), Cloudflare (DNS, CDN, and inbound email routing), JSearch / RapidAPI (job listings), and the USDA FoodData Central API (food nutrition lookups). We do not sell your personal information, and we do not share your personal identifying information beyond what is necessary to provide the Service, required by law, or disclosed in our Privacy Policy.
9.4 Data Security
We implement reasonable security measures to protect your data, including database row-level security, encrypted transport, and server-side routing of all AI calls; however, no system is completely secure. We are not liable for unauthorized access, data breaches, or any compromise of your data resulting from circumstances beyond our control. You accept the inherent risks of online data transmission.
9.5 Data Retention
We retain your data for as long as your Account is active or as otherwise required by law. Upon Account deletion, we will remove your data within a reasonable timeframe, except where retention is legally required. Some anonymized or aggregated data may be retained for analytics and service improvement.
Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. EXECLI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10.2 Limitation on Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXECLI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.3 Liability Cap
EXECLI'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO EXECLI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, EXECLI'S LIABILITY SHALL NOT EXCEED FIFTY DOLLARS ($50.00).
10.4 Essential Terms
You acknowledge that these limitation and exclusion provisions are essential to the pricing, offer, and availability of the Service. Without these limitations, Execli would not offer the Service at the prices stated.
Indemnification
11.1 Your Indemnification Obligation
You agree to indemnify, defend, and hold harmless Execli, its officers, directors, employees, agents, and successors from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your misuse of the Service; (c) your submission of inaccurate, false, or misleading information; (d) your violation of any third-party rights; (e) your connection of financial accounts you are not authorized to access; or (f) any illegal activity conducted through your Account.
11.2 Procedure
Execli will notify you of any claim subject to indemnification and cooperate with your defense. You shall not settle any claim without Execli's prior written consent.
Termination
12.1 Termination by User
You may terminate your Account at any time by contacting our support team or through your Account settings. Upon termination, your Account will be deactivated and you will no longer have access to the Service.
12.2 Termination by Execli
Execli may suspend or terminate your Account immediately, without notice or liability, if: (a) you violate these Terms; (b) you engage in illegal activity; (c) you misuse the Service; (d) we determine your Account poses a security or legal risk; or (e) you fail to pay applicable subscription fees.
12.3 Effects of Termination
Upon termination, all rights granted to you are immediately revoked. You are no longer authorized to access the Service. We are not liable for any loss of data, content, or functionality resulting from Account termination. You remain liable for any breaches or violations occurring before termination.
12.4 Survival
Sections 6 (AI Features and Disclaimers), 7 (Bank Account Connections), 8 (Intellectual Property), 9 (Data Privacy), 10 (Limitation of Liability), 11 (Indemnification), 13 (Dispute Resolution), and 14 (Governing Law) shall survive termination of these Terms.
Dispute Resolution
13.1 Informal Resolution
Before initiating formal dispute resolution, you agree to contact our support team at support@execli.ai with details of your dispute. We will make a good-faith effort to resolve the dispute informally within thirty (30) days.
13.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware, or virtually if agreed upon. Each party shall bear its own attorneys' fees and costs, unless the arbitrator awards them otherwise.
13.3 Class Action Waiver
You agree that arbitration proceedings shall be conducted on an individual basis and not as a class action, collective action, or representative action. You waive your right to pursue or participate in any class action against Execli.
13.4 Exceptions
Notwithstanding the above, Execli may pursue injunctive relief in court to prevent irreparable harm, infringement, or misuse. Either party may seek relief from a small claims court if the claim is within that court's jurisdiction.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You consent to the jurisdiction of the state and federal courts located in Wilmington, Delaware for any legal proceedings arising from or related to these Terms.
Modifications to Terms
Execli reserves the right to modify these Terms at any time. Changes will be posted on the Service with an updated Last Updated date. Material changes will be communicated via email to the address associated with your Account. Your continued use of the Service after modifications constitutes acceptance of the updated Terms. If you do not accept any modification, you must discontinue use of the Service.

Severability and Entire Agreement
17.1 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall continue in full force and effect.
17.2 Entire Agreement
These Terms, along with our Privacy Policy and any other posted policies, constitute the entire agreement between you and Execli regarding the Service and supersede all prior agreements, understandings, and representations, whether written or oral.
17.3 No Waiver
Execli's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right. Our failure to take action on any violation does not waive our right to enforce these Terms in any other instance.
